2. Service Engagement Terms

2.1 Who these terms apply to

These Service Engagement Terms apply where a business owner, advisor, or other party ("you", "the Client") engages Platinum Tusk ("we", "us"), in connection with a potential or actual business acquisition. They apply alongside, and take precedence over, the general Website Terms of Use above for any conflict relating to a specific engagement.

2.2 Nature of our services

We provide business acquisition and related advisory services, which may include identifying acquisition targets, evaluating opportunities, structuring transactions, and post-acquisition support such as technology, AI, and business automation consulting. The specific scope of services for any engagement will be set out separately in writing (an engagement letter, proposal, or signed agreement) and these terms apply to that scope.

2.3 No guarantee of outcome

We do not guarantee that any acquisition opportunity will be identified, that any transaction will complete, or that any particular financial or business outcome will result from our services. Business acquisition involves significant risk, including the risk that a transaction does not complete after time and cost has been invested.

2.4 Not regulated financial, legal, or tax advice

We are not a law firm, accountancy practice, or FCA-regulated financial advisor. Nothing we provide constitutes legal, tax, or regulated financial advice. You are responsible for obtaining independent legal, tax, and financial advice from appropriately qualified and regulated professionals before entering into any transaction.

2.5 Confidentiality

We will treat non-public information you share with us in connection with an engagement as confidential, and will not disclose it to third parties except as reasonably necessary to progress the engagement (for example, to lenders, advisors, or counterparties, with your knowledge) or as required by law. A separate non-disclosure agreement may be put in place for a specific engagement.

2.6 Fees

Fees for our services, including any consultant-for-equity arrangements, will be agreed in writing for each engagement before work begins. [Fee structure, payment terms, and any equity/success-fee mechanics to be added per engagement type — no generic fee schedule should be published here.]

2.7 Client responsibilities

You agree to provide accurate and timely information reasonably required for us to perform the engagement, and to obtain your own independent professional advice on legal, tax, financing, and regulatory matters before completing any transaction.

2.8 Limitation of liability

To the fullest extent permitted by law, our total liability arising from any engagement is limited to the fees paid to us for that specific engagement in the twelve months preceding the claim. We exclude liability for indirect or consequential loss, including loss of profit or loss of a business opportunity. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

2.9 Termination

Either party may terminate an engagement by written notice as set out in the specific engagement agreement. Fees for work performed up to the date of termination remain payable.

2.10 Governing law and jurisdiction

These Service Engagement Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.

2.11 Contact
